Constitution
1 Adoption of the Constitution
The Group and its property will be administered and managed in accordance with the provisions of this constitution.
2. The Name
The Group’s name is the Market House Photography Group
3. The Objects
The Group’s objects are:
1. To help the community improve their photography by holding workshops etc
2. To hold our own competitions and exhibitions on a regular basis
3. To be a community based group
4. The Powers
In furtherance of the said objects but not otherwise the Group shall have the power to raise funds and apply for,
invite or receive contributions from any other person or persons whatsoever by way of donation or grant.
5. The Membership
Membership of the Group shall be open to any person (junior members must be accompanied by an adult) interested
in furthering the objects. Members of the Photo Group will make up the Group Committee.
6. Management Committee
The Committee shall consist of representatives from the group.
7. The Officers
At the Annual General Meeting the Group shall elect from amongst themselves a Chairperson, a Treasurer and a Secretary (hereinafter called the Officers) who shall hold office from the conclusion of that meeting until the conclusion of the Annual General Meeting next after their election. They may then offer themselves for reelection.
8. The Committee Meetings
The Group shall hold at least four ordinary meetings each year. Minutes shall be kept by the Secretary and shall record all meetings and resolutions of the Group. The Group shall hold an Annual General Meeting. A special meeting may be called at any time by the Chairperson upon not less than two weeks’ notice being given to members of the Group of the matters to be discussed. The Chairperson shall act as Chair at meetings of the Group. If the Chair is absent from any meeting the Group shall choose one of their number to act as Chair before proceeding. Each member of the Group shall have one vote and
every matter shall be determined by a majority of votes. In the case of split decisions the Chair will have the casting vote.
9. The Finances
The funds of the Group shall be applied only in furtherance of its objects. No member of the committee shall be employed by the Group or receive any payment or other benefit from its funds except for reasonable out of pocket expenses properly incurred for the purpose of the Group.
Bank Account
A bank account shall be opened in the name of the Group; no less than two members to sign cheques.
10. Changing the constitution
The Constitution may be altered by a resolution passed by not less than five of the members present and voting at a meeting. No alteration will be valid if it would alter the objects.
11. Closing down the group
The Group may be dissolved by a resolution passed by not less than five of the members present and voting at a special meeting convened for the purpose, of which twenty-one days notice shall be given to members. After paying or making provision for all debts and liabilities of the Group such a resolution may give instructions for the disposal of any funds held by or in the name of the Group to be given or transferred to such other institutions having objects similar to some or all of the objects of the Group. Any assets or funds remaining after dissolution shall be properly accounted for and shown to be
dispersed accordingly. Any outstanding subscriptions will be repaid to members.
